1.Introduction
These Terms and Conditions ("Terms") govern all services provided by Oxford Management Consultancy Ltd ("OMC") through its website, client portal, and direct engagements.
By engaging OMC, the client agrees to be bound by these Terms.
2.Scope of Services
OMC provides business consultancy and support services including but not limited to:
- Company formation and structuring
- PRO and government liaison services
- Tax, VAT, and accounting services
- Banking assistance
- Branding, digital marketing, and web development
- Other related advisory and support services
Detailed scope, timelines, and deliverables shall be defined in proposals, invoices, or service agreements.
3.Formation of Agreement
A legally binding agreement is formed only when:
- Scope of services is confirmed
- Fees are agreed
- Payment (full or partial) is received
Submission of inquiries or requests alone does not constitute a contract.
4.Fees and Payment Terms
4.1 Payment Methods
OMC accepts:
- Bank transfer
- Credit/debit card
- Approved digital assets (including USDT)
- Other payment methods as approved by OMC
4.2 Payment Conditions
- All service fees are payable in advance, unless otherwise agreed
- All bank charges, exchange fees, and transfer costs are borne by the client
- OMC reserves the right to suspend services for delayed or incomplete payments
4.3 Cryptocurrency Payments
- Cryptocurrency payments are accepted at OMC’s discretion
- Invoice value is fixed at the time of issuance
OMC is not responsible for:
- Price volatility
- Network delays
- Incorrect wallet transfers
5.Refund and Cancellation Policy
- Government fees, third-party charges, and submitted applications are strictly non-refundable
- Service fees may be partially refundable only if work has not commenced
- Once work has started or submission to authorities has been made, fees are non-refundable
- Any approved refunds will be processed after deduction of administrative and processing costs
6.Client Responsibilities
The client agrees to:
- Provide accurate, complete, and up-to-date information
- Submit required documents in a timely manner
- Comply with all applicable UAE laws and regulations
OMC shall not be liable for delays or failures resulting from:
- Incomplete or incorrect information
- Delayed client responses
8.Banking Services Disclaimer
OMC provides assistance in bank account opening; however:
- Final approval is solely at the discretion of the bank
- OMC does not guarantee account opening
- Rejections by banks do not entitle the client to refunds
9.Advisory Disclaimer
All advice, estimates, timelines, or recommendations provided by OMC:
- Are for general guidance only
- Do not constitute legal, financial, or tax advice
Clients are encouraged to obtain independent professional advice where necessary.
10.Anti-Money Laundering (AML) and Compliance
OMC complies with UAE AML and regulatory requirements. OMC reserves the right to:
- Request identity verification documents
- Conduct due diligence checks
- Refuse or terminate services in case of compliance concerns
No refunds shall be provided where services are terminated due to:
- AML risks
- Regulatory non-compliance
- Suspicious activities
11.Third-Party Services
OMC may engage or coordinate with third parties including:
- Government entities
- Banks
- Payment providers
- External consultants
OMC is not responsible for:
- Third-party actions or delays
- External system failures
12.Intellectual Property
- All materials, content, and deliverables remain the property of OMC until full payment is received
- Upon full payment, ownership of agreed deliverables is transferred to the client, unless otherwise specified
13.Confidentiality
OMC shall maintain confidentiality of all client information except where disclosure is required:
- By law
- By regulatory authorities
- For service delivery purposes
14.Limitation of Liability
To the maximum extent permitted by UAE law:
- OMC’s total liability is limited to the fees paid by the client
OMC shall not be liable for:
- Indirect or consequential losses
- Loss of business, revenue, or profits
- Delays caused by third parties or authorities
15.Indemnity
The client agrees to indemnify and hold OMC harmless against any claims, damages, or liabilities arising from:
- Inaccurate information provided by the client
- Misuse of services
- Violation of laws or regulations
16.Termination
OMC may suspend or terminate services if:
- Payment obligations are not met
- Client violates applicable laws
- Compliance risks arise
Termination does not affect accrued rights or outstanding payments.
17.Force Majeure
OMC shall not be liable for failure or delay due to events beyond its control, including:
- Government actions
- Regulatory changes
- System failures
- Natural events
18.Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of UAE courts.
19.Amendments
OMC reserves the right to update these Terms at any time.
Continued use of services constitutes acceptance of revised Terms.
